This Affiliate Agreement and the Dashboard Local Terms of Service incorporated herein by reference (collectively the “Agreement”) govern your activity, application to join, and participation in the Dashboard Local Affiliate Program (the “Program”). By participating in the Program, you agree to be bound by this Agreement. This is a binding legal agreement between you (“Affiliate,” “you”) and Dashboard Local (“we,” “us,” or “our”). If you represent a business entity, you represent you have authority to bind that entity.

Dashboard Local reserves the right to modify this Agreement at any time. Continued participation constitutes acceptance of any updates.

SECTION 1. PROGRAM APPLICATION

You agree to provide accurate and complete information in your application. We reserve sole discretion to approve or reject any application and may change criteria at any time.

You consent to be contacted regarding your application and participation in the Program.

SECTION 2. PROGRAM RULES

If you violate these Rules, Dashboard Local may terminate your participation and forfeit commissions.

A. Compliance with Laws

You must comply with all applicable laws, including advertising, email marketing, and disclosure regulations.

B. Disclosure Requirement

You must clearly disclose your affiliate relationship. Example:

“Disclosure: I am an independent affiliate of Dashboard Local and receive referral compensation. My opinions are my own.”

C. Non-Disparagement

You agree not to make defamatory or disparaging statements about Dashboard Local or competitors.

D. Social Media Requirements

You must comply with platform rules and clearly disclose paid promotion (e.g., #ad).

E. Marketing Claims

You may not:

• Make income guarantees

• Claim Dashboard Local is a business opportunity or franchise

• Make claims beyond official marketing materials

Required disclaimer when discussing results:

These results are based on personal experience. Your results may vary. No guarantees are made.

F. General Advertising Rules

Your content must not:

• Infringe intellectual property

• Contain offensive or illegal material

• Include malware or harmful code

• Redirect traffic unfairly or manipulate tracking

G. PPC Guidelines

You may run paid ads, but:

• You may NOT bid on "Dashboard Local" branded keywords

• You must comply with all ad platform rules

H. Additional Rules

You agree that:

• You are responsible for your team’s actions

• You will not self-refer

• You will not engage in fraud or manipulation

• You will not spam (email, SMS, social, etc.)

• You will not copy or mimic Dashboard Local’s website

• You will not use unauthorized discounts or offers

SECTION 3. COMPENSATION

You will receive a unique affiliate link to track referrals.

Commission Structure

10% recurring commission

Applies to all plans:

• Starter ($97/month)

• Growth ($197/month)

• Team ($297/month)

Commission Conditions

A commission is earned only if:

• The customer signs up through your link

• Payment is completed

• The account remains active and in good standing

Payout Terms

• Commissions are paid monthly

• Minimum payout: $50

• Payments may be delayed for fraud review

Additional Terms

• Commissions stop if a customer cancels

• Refunds and chargebacks result in reversed commissions

• Fraudulent activity voids commissions

• Dashboard Local may adjust commission rates at any time

SECTION 4. INTELLECTUAL PROPERTY

All Dashboard Local materials remain our property.

You are granted a limited license to use approved materials solely for promotion.

You may not:

• Modify branding

• Claim ownership

• Misuse trademarks

All goodwill generated benefits Dashboard Local.

SECTION 5. TERM AND TERMINATION

This Agreement begins upon acceptance into the Program.

Either party may terminate at any time.

Dashboard Local may terminate immediately for violations.

If terminated for breach, all unpaid commissions may be forfeited.

SECTION 6. REPRESENTATIONS AND WARRANTIES

You confirm:

• You are legally able to enter this Agreement

• You are not under investigation for deceptive marketing practices

You must notify Dashboard Local of any legal issues within 24 hours.

SECTION 7. ENTIRE AGREEMENT

This Agreement represents the full agreement between both parties regarding the Program.

SECTION 8. INDEPENDENT CONTRACTOR

You are an independent contractor.

You have no authority to bind Dashboard Local.

SECTION 9. DISCLAIMER

Dashboard Local does not guarantee:

• Income

• Leads

• Business success

This is not a business opportunity or franchise.

SECTION 10. LIMITATION OF LIABILITY

Dashboard Local is not liable for:

• Lost profits

• Loss of data

• Indirect or incidental damages

Maximum liability is limited to fees paid in the prior month or $1,500, whichever is less.

SECTION 11. DISPUTES

All disputes will be resolved via binding arbitration in Texas.

No class actions are permitted.

SECTION 12. INDEMNIFICATION

You agree to indemnify and hold Dashboard Local harmless from any claims arising from:

• Your actions

• Your breach of this Agreement

• Your marketing activities

SECTION 13. SEVERABILITY

If any part of this Agreement is invalid, the rest remains enforceable.

SECTION 14. INJUNCTIVE RELIEF

Dashboard Local may seek immediate legal remedies for breaches without bond.

SECTION 15. COMPLAINT NOTIFICATION

You must report any complaints related to your promotions within 24 hours to:

SECTION 16. FORCE MAJEURE

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, or government actions.
